You have entered into a multi-party relationship and now it is time to part ways - how do you go about exiting a working arrangement and still retain goodwill for future collaborations? What happens if there are differences about “who owns what”? How do you divide resources, capital and jointly owned IP?
As a follow up from the very successful “pre-nuptials” Bioworkshop last year, Tim Clark (IP & Technology Partner) and George Raitt (Corporate & Commercial Partner) from Piper Alderman are conducting a BioWorkshop on “Divorce” for Research Collaborators.
This BioWorkshop will provide strategic advice on how to plan ahead for exiting multi-party collaborative research arrangements (including cooperative research centres).
It will focus on:
• Governance and management issues when exiting
• Contract structure and exit clauses
• Different business structures and considerations when exiting
• Understanding differing objectives of stakeholders, eg. industry, university, research institute
• Negotiations & conflict resolution
• IP Management, retention and division
Participants will work through a detailed case study that deals with many of the issues faced by those wanting to exit collaborative research arrangements. Participants will be guided on how to address these issues and develop a range of solutions to solve them.
